This contract applies to the artist further called Artist and person or institution further called Customer purchasing from Seller a work of art further called Commission. By ordering a Commission from the Seller the Customer agrees to the following terms and conditions:

General

⋗ Artist may turn down the commission for any reason without giving reasons to Customer.⋗ The client may not claim they are the artist of the artwork.⋗ Artist reserves the right to post the final image on social media and their portfolio. Artist can also link customer's social media posts on Twitter or Instagram, if desired.⋗ The commission may be created on a public platform such as Twitch. Artist will stream the designing and drawing process on Twitch, and will do so unless informed otherwise. Minor adjustments can be made live if the customer is watching. Payments

⋗ All prices are listed in CAD & USD.⋗ Pay up front for orders below USD $80 / CAD $113.⋗ First come first serve, payment upfront. Work on the piece begins once it has been paid in full.⋗ On orders above USD $80 / CAD $113 the customer can agree to pay half the invoice total upfront. The other half has to be paid on approval of the initial sketch/concept draft.⋗ Prices listed in the form or on the website are the base. Extra complexity such as complex characters or additional requests will alter the price and may incur an additional fee.

CURRENCY CONVERSIONS

⋗ Customer agrees to pay the total amount specified in USD/CAD.⋗ It is the sole responsibility of Customer to bear any currency conversion costs, bank transfer fees, payment provider service fees and any other costs involved in transferring funds to the Seller.⋗ Any currency is accepted as long as the total paid is equal to the invoice amount in USD/CAD.⋗ Payment is considered as received and completed only when total amount received on Seller's USD/CAD account is equal to the invoice amount in USD/CAD.

REFUND POLICY

⋗ Customer can ask for a refund on orders with no progress for 2 weeks, or when work has not been completed within 1 month. Refund conditions for commissions which require more work must be agreed separately, before the work commences. These provisions exclude work interruptions caused by unforeseen circumstances such as illness, accidents or any other credibly documented reason for interruption of work.⋗ Lack of communication on behalf of Customer will be recognized as implicit approval of all work progress and current state of the Product. Refunds will not be accepted if the client fails to respond after 1 month regarding to their commission.

CANCELLATIONS

⋗ Artist may cancel and refund any order at any time under condition of full refund, without giving reasons to Customer.⋗ Any disrespectful behaviour will not be tolerated and may result in a cancellation of the order. Customer will receive full or partial refund depending on amount of work completed. Seller will have full right to refuse any service to the Customer in the future.

PRODUCT DELIVERY

⋗ Estimated Turnaround time for product : about 2 weeks for simple products / about 1 month for complex products.⋗ Customer is required to contact the seller in a fast and responsive manner. Responding swiftly to any requests for comments, clarifications, opinions, validation of progress etc. Lack of timely communication on behalf of Customer will be recognized as implicit approval of all work progress and current state of the Product.⋗ Product will be delivered digitally only. Customer will receive an un-watermarked, full file once commission is done. Digital Delivery only, high resolution files to be shared at time of completion.⋗ Artist will not be responsible for loss of product once it has been delivered.⋗ Customer is required to contact the seller in a fast and responsive manner.⋗ Commissions cannot be used for commercial use without additional fees.

REVISIONS

⋗ Artist will accept input beforehand from Customer before starting the commission. During the commission process. the Artist will take creative freedom in poses and design.⋗ Artist will provide multiple WIPs during sketching phase for the commission. Major revisions will be offered once the sketch has been sent.⋗ Customer has right to three complete revisions in the sketching phase. Once the Customer and Artist have agreed on the revisions in the sketching phase revisions will NOT be offered until after completion.⋗ Customer has right to reasonable amounts of minor edits after completion (I.E eyecolour change).

PERSONAL AND COMMERCIAL USE

⋗ The commission received by Customer is for personal use. Not to be edited, altered, or distributed in any way by any party. Any use of the Product for commercial purposes, which includes reselling it, reproduction or publishing for reasons other than personal purposes has to be approved beforehand by the Seller.
This will require a separate agreement between Customer and Seller defining exact conditions and financial implications of such use of the Product.⋗ For commissions, the Artist retains all commercial rights to the illustration. For commercial use of the commission, this will require a separate agreement between Customer and Seller defining exact conditions and financial implications of such use of the commission. Please contact me at [email protected].⋗ For commissions relating to streaming such as emotes, overlays and layouts, the artist retains all commercial rights to use for their portfolio and streamer has the rights to use the product for commercial use outside their streams, socials, and discord.⋗ Customer does not hold the right to use the product in any blockchain-related technology, including NFTs, cryptocurrency, any machine learning and AI-related technology, including submitting for datasets, or future inventions in the space.

if the agreements are broken any future Commission will be terminated, rights will be revoked from the customer and customer will be banned from working with the artist.

IT IS COMMERCIAL?

For commissions that relate to streaming each artist that creates for streamers has their own way of defining what counts as commercial and non-commercial. What they charge for different uses and it may not be the same from one artist to the next.

For commissions with the Artist Eykludt the following applies:

Personal Use

⋗ Displaying art strictly for the customer such as on private, non-monetized accounts.
✔️ Yes (This is not commercial this is personal use)
⋗ The customer posting it on social media to share with others for non-monetized reasons .
✔️ Yes (This is not commercial this is personal use but please credit the artist!)

Streaming Content / Monetization

⋗ Displaying art on platforms where the customer earn indirect revenue (Twitch, YouTube, Patreon) via ads, subs, or tips.
⚠️ Yes
⋗ Promo material for streams on different socials.
⚠️ YesThis can be considered as considered commercial use because it acts as a marketing tool to promote a business, brand, service, or product intended to generate revenue.
For the commissions that relate to streaming such as emotes, layouts, etc. the price listed are for usage on streaming platforms and discord ONLY.
If one wanted to use them on promo material one have to let the artist know so both parties can renegotiate.❌ The customer cannot resell any streamer related commission such as emotes, overlays and layouts.
❌ Any PNGTuber avatar or Character Concept made is 'non-commerical use ONLY'. The customer can't sell the avatar or character design ('adopting') to others, or print merch with the PNGtuber/design on the merch.
✔️ It's okay to use for streaming as long as the customer who commissioned is the only one using them.

Merchandising = Commercial

The customer MUST pay for the commercial pricing if you are selling the commission anywhere or using it to gain a profit.⋗ Reselling and printing the artwork onto physical or digital goods to sell directly for profit (t-shirts, keychains, prints).
